BY ACCESSING OR USING Niagara Bridges (“App”), YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE WITH THESE TERMS, DO NOT USE THE APP.

1. Acceptance of Terms

By using the App, you acknowledge that you have read, understood, and agree to be bound by these Terms. These Terms govern your access to and use of the App, and they apply to all users, regardless of whether you are a registered or guest user.

2. License and Use of the App

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the App for personal, non-commercial purposes. You agree not to use the App for any unlawful or unauthorized purposes and to comply with all applicable laws and regulations in connection with your use of the App.

3. Data Aggregation and External Data Disclaimer

The App integrates and displays data that is obtained from external sources (“Scraped Data”). While we make reasonable efforts to ensure the Scraped Data is current and accurate, it is provided solely for informational purposes and without warranty of any kind. You acknowledge and agree that:

• The Scraped Data is obtained from a source that we do not control.
• We make no representations, warranties, or guarantees regarding the accuracy, completeness, or reliability of the Scraped Data.
• Any reliance on the Scraped Data is at your own risk.
• In no event shall we be held liable for any direct, indirect, incidental, special, or consequential damages arising from the use of or reliance upon the Scraped Data.

4. Disclaimers and Limitation of Liability

THE APP IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT:

a. THE APP WILL MEET YOUR REQUIREMENTS;

b. THE APP WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; OR

c. THE RESULTS OBTAINED FROM THE APP WILL BE ACCURATE OR RELIABLE.

IN NO EVENT SHALL WE, OUR OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY DAMAGES, INCLUDING INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE APP OR ANY DATA OR INFORMATION DISPLAYED OR OBTAINED THROUGH THE APP, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

5. Indemnification

You agree to indemnify, defend, and hold harmless Niagara Bridges, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, actions, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees) arising from your use of the App, your violation of these Terms, or your infringement of any third-party rights.

6. Modification and Termination

We reserve the right to modify, suspend, or terminate the App or these Terms at any time, in our sole discretion. Any modifications to these Terms will be posted on the App and will become effective immediately upon posting. Your continued use of the App following any such modifications constitutes your acceptance of the new Terms. We also reserve the right to suspend or terminate your access to the App without notice if we determine that you have violated these Terms.

7. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions. Any dispute or claim arising out of or related to these Terms or the use of the App shall be resolved exclusively in the appropriate provincial or federal courts located in Ontario, Canada, and you consent to the jurisdiction of such courts.

8. Miscellaneous

These Terms constitute the entire agreement between you and Niagara Bridges regarding the use of the App, and they supersede any prior agreements or understandings, whether written or oral. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. No waiver of any provision of these Terms shall be deemed a further or continuing waiver of any such provision or any other provision.
